In consideration of Bulava Promotion's printing of and sale to Clients of promotional products, Client represents and warrants that it (a) is the owner/agent or auhtorized licensee of the rights to imprint the artwork, logos, trademarks, trade names, copyrights or other intellectual property (hereinafter "Artwork") in any form on the products described herein and has full authority to license the use of the mark on such products and any associated advertising; (b) hereby authorizes Bulava Promotions to manufacture or have manufactured the products described here in with the above-described Artwork; and (c) agrees to hold Bulava Promotions, its employees, agents, supplier(s) and assigns, harmless from any loss, liability, damage, and expense, including attorneys' fees, if any action for infringement is filed against Bulava Promotions, its employees, agents, suppliers or assigns, as a result of this agreement.
